Steve resent it 7 Aug 06:27. Real this time — 178,188 bytes, byte count matching the header exactly, a genuine Word file. Checked in a way that could have come back negative, unlike the last one.
⛔ Party (2) reads "Big Laugh Boutique representing Sean Collins plus support". BLB Ltd dissolved in February, so a trading name binds the individual behind it — against an uncapped one-way indemnity and a £500 + VAT cancellation fee. That is exactly the personal exposure the SCJ entity lock exists to contain.
📞 JR has texted Steve to say he'll go over the contract this weekend, so the reply goes MONDAY MORNING with his own amendments in. Nothing sent.
20 amendments: 11 must, 7 should, 2 optional. Critical is assigned on unbounded personal exposure, explicitly not on likelihood — a 311-seat comedy night, and Steve has been straight throughout. ⛔ Do not sign the current document in any form.
⭐⭐ The lever nobody had: Comedy Hall's own published standard terms are the same template. The 1.5-hour show, the support-act liability, the "+ VAT" on the cancellation fee and the 3.2 cross-reference were all added on top of his own wording. So the ask is "please revert to your own terms" — not "please change your terms".
▶ Two decisions owed: the reissued contract comes back to Albert before signature (one fix must land in three places and is the likeliest to return half-done) · should the 11 must-fixes become a standing rider for the remaining ten dates? This is date 1 of 12.
(1) Clause 3.2 exists — it is the Indemnity clause. I reported it missing. Word stores those numbers as numbering data rather than characters, so stripping the tags could only ever return "absent" — a check that could not fail. It inverts the conclusion: 6.2/6.3 are not symmetric. Our side is £500 + unlimited; theirs is £500 flat.
(2) The money is £3,266 at capacity, not £3,918. The 70% is normally worked out after VAT. Budget the lower figure.
🛑 And five things I missed, biggest first: clause 4.2 — any breach, at any time, forfeits the whole fee (no materiality, no cure, no time limit) · no force majeure at all on a date eighteen months out · PRS charged to us twice · 9.3 bans sub-contracting while 3.1/9.4 require a support act · deed wording that could double the indemnity's life to twelve years.
Tom, 7 Aug: "Since the slot is only one hour, I'd encourage not running an interval if the show is 60 minutes, and do our best to start on time." ⭐ The 4 August read was right and the room has now confirmed it — Manchester is the one exception on the run.
He also offered to find the support. Declined per JR — we bring our own.
🛑 But their ticketing form cannot be filled: it requires a Google sign-in. Followed the short link to the real address — HTTP 401, "You must sign in to access this content." No Google account here, and JR's standing rule is no Google sign-up. That is very likely why it has sat since 28 July. A draft to Tom is staged giving him every answer in the body instead. ❓ JR weighing one narrow Big Laugh Boutique Google account purely for venue forms.
Interval ≈ 20 minutes. That was the only field still open, so Brighton's form is complete.
On his £23 / £19: £20 + £1 levy + £2 booking fee = £23, and £16 + £1 + £2 = £19 — exact both ways. So our £20/£16 stands and the customer simply sees the fees on top. ⚠️ That is an inference, not something he wrote — the line to get back is that the 70% of net is calculated on the £20, not the £23.
🎨 New spec, and it is a third cut: 800×800 square, no writing — alongside portrait for Yuk Yuk's and 16:9 landscape for The Stand, plus physical print for Tiverton. ⭐ The standard supply-pack argument has now made itself three times. ➕ He will display 3 × A3 posters for six months if we send them.
We supply our own support, a different local opener per town — no travel cost, and a local act brings their own crowd into a town where we hold no list. Tony Marrese takes the West Country (Tiverton + Totnes).
⚠️ He also promotes Totnes on 70/30, so he sits on both sides of that date — does he take a support fee on top of his promoter split? JR + Reed, not me. ❓ Is Cardiff inside "the West Country"? Asked, not assumed.
⏱️ Preferred running order: support 15–20 → interval → Sean's FULL hour. A straight hour is fine too, and any permutation is available. ⭐ Venues want the interval because it is when they sell the beer — a bar decision, not a format demand.

1 · Never "my" in a venue mail — it is "Sean's", "our" or "we". Not just style: JR is the agent, SCJ is the party, so "my fee" and "my liability" contradict the very paperwork we are asking Steve to correct. 32 corrections applied to the Steve draft; none left.
2 · Every piece of promo showing a price carries "* subject to venue booking fee". Posters, calendar, web copy, socials, listings, supply packs — because levies and fees differ room to room.
3 · Invoicing. ✅ Every agreement on all twelve dates is to SCJ Entertainment Ltd, and every settlement is payable to SCJ. ⏳ Whether JR or Sean raises the invoice is OPEN — so no contract names an individual as payee, and no invoicing person is named to a venue until JR decides.

⚠️ The old record here said "Tony Marrese promotes on 70/30, a promoter date not a hire". That was wrong and is dead. JR: "we pay the flat fee from the tickets after, and split with tony." → gross ticket income → flat venue fee paid out of takings after the show → remainder split with Tony.
⭐ Nothing leaves our pocket before the show — no deposit, no cash at risk on the night. 🛑 But the fee is the first claim on the pot. 120 × £20 = £2,400 at capacity, ~£1,440 at 60%, ~£720 at 30% — the fee comes off the top of whichever it is before anyone splits.
⏳ Fee and split both still open — JR's, with Tony, and he owns the paperwork. He has played the room several times over the years, so his read beats any modelling from here.

⚠️ NEW TERM: he wants 15% of merch. First appearance. Left out of our reply deliberately — per-act commercial is JR and Reed, never me. It will be in the contract, so it needs answering before signature.
🛑 And he intends to go live the moment he has artwork — which breaks the all-dates-announce-together rule. Hold requested. JR calls him Friday 7 Aug about the monthly club nights (up to £5k a night, both rooms, through 2027 — a roster relationship, not a Sean date).

The 33%-heading-to-39.6% question, the per-room accessibility wording (Edinburgh is not accessible and the duty is ours) and the per-room age limits all wait until after the Fringe.
✅ Nothing is at risk. The acceptance was contractually effective on sending, Albert cleared the agreement, and all three dates are secure. Her silence is a Fringe auto-reply, not a problem.
It had fallen eight days behind — last touched 29 July while a full week of confirmations happened around it. The work was getting done; the record wasn't keeping up.
Now current across every record, and carrying a new standing-rules table at the top: the SCJ entity, Albert's acceptance wording, £20/£16, no allocations, all-dates-announce-together, the interval, the eight-field timing block, accessibility being ours. Those are the exact things that kept getting re-proposed to JR after he'd already ruled on them — because they lived only in the decisions log, which is read as a tail.

🛑 Measured, not assumed: they're serving a 300 × 212 landscape thumbnail into a portrait slot with a 400px minimum height. The page upscales it ~2× and crops the sides — 4× on a retina screen. That's the "crap artwork, all unsized".
✅ Supplied 900 × 1200 portrait, cut from JR's own approved 2026 stage shot. ⭐ One image per comedian, so it fixes Ottawa, Toronto and every future Yuk Yuk's date at once. ⚠️ It's a profile-photo slot, not a poster slot — re-cutting the poster set into it would crop the type to nonsense.
✍️ Copy rewritten: one blurb, both pages, one line changed for the city. Ottawa's page carried no credits at all while Toronto's carried the full CV; neither carried a press quote; Wafik Nasralla wasn't named. 🛑 No og:image on either page, so every share of a show link is a bare grey link — their template, asked for politely.
🛑 No verified contact at Yuk Yuk's — Sean self-booked all three and the published addresses are fundraising and stag lines. Get the name from Sean. Supply page live at sean-collins-yukyuks-supply.pages.dev; board staged, nothing sent.
Every UK tour agreement is now made to SCJ Entertainment Ltd, 37 Bury Crescent, Gosport, Hampshire, PO12 3TZ, co. 06734322. JR signs on Sean's behalf, admin-wise, and will send Sean an email setting out all terms.
⚠️ Use this exact wording on every agreement — Albert's correction, because "arranged by John Robson" states a role, not legal authority:
"This acceptance is given for and on behalf of SCJ Entertainment Ltd by John Robson of Big Laugh Boutique, its duly authorised agent."
Why it matters: BLB Ltd dissolved Feb 2026, so "Big Laugh Boutique" and "John Robson" are the same legal person with no corporate veil. Naming SCJ keeps the ticket contract, VAT, refunds and the 48-hour cancellation liability inside a company.

Albert reviewed it first (AL-008): market-standard, safe to agree, Low–Medium, no external counsel.

All four collide — 22 Jan is Sean's own Attic, 5 Feb Scotland, 12 Feb Tiverton, 29 Jan Creatures. ⚠️ They have stated neither capacity nor terms. Two questions drafted to Greg, not sent. Creatures is not definitively the better room until those come back — their 6:45–7:45 slot is the early one, the venue's own showcase runs later.
The 2024 show in that exact room, promoted by the same person, did 97 online + ~20 on the door in a 120 room — it sold out. Sat 13 Feb is far safer than we had it. ⚠️ Standing lesson: door sales never appear in a ticketing export, so any platform figure is a floor, not the gate.

Comedy Hall stays on file as a separate live promoter lead in the same town.) Council quotes up to ~200 across two rooms, the Town Hall and the New Hall — some listings show 60 for meeting layouts, so confirm which room, seated, for comedy. ~200 is inside the 120–200 tier.
📅 Ask FRI 12 FEB · fallback THU 11 · never offer Sat 13 (Bristol's, and it would backtrack). 🛑 The question that decides the date: straight council hall hire, or is somebody programming comedy there? A bare hire = we carry the risk and all the marketing in a town with no list — the weakest model. They approached us, so someone is probably programming it. Find out who.
JR: "make the posters a bit different for the UK… park the artwork for venues until we have more assets and more venue requirements, then do a bulk of venues at once." Agreed — and the stronger reason isn't efficiency, it's coherence: build The Stand's now and it becomes the UK look by accident, with everything after it either copying or drifting. Built once, across the run, it's a decision.

Sean's Ltd is the contracting party. Named Third Party at The Stand = promoter of record = signatory = payee. Settlements go direct to Sean's company. BLB stays clear of it — no ticket contract, no VAT, no cancellation liability — and invoices Sean for the work, with full transparency to him throughout. If Sean registers for VAT, that's his and his accountant's to handle. JR will likely ask Sean for an advance on the whole tour once the dates are locked in.
£15 / £20 / £25 confirmed by JR. 20% external allocation DECLINED — not worth the extra accounting. So Skiddle sells all 100: one settlement, one party, nothing to reconcile. Knock-on to hold in mind: no buyer data comes off this show, and the tour ticket hub becomes a signpost to Skiddle rather than a seller. JR flag (2026-07-06): first fortnight of January is dead for live — audiences are "Xmas'd out" (skint post-Christmas, dry-Jan, cocooning); venues quiet by nature. So weight the run to the BACK HALF of Jan → early Feb when demand recovers (Stand avails run to 6–7 Feb — use that Feb tail). Don't be fooled by the Stand's heavy early-Jan availability (2–3, 9–10) — that's soft-demand supply. Implication for Trinity: late-Jan dates (23/30) are now commercially good dates, not a problem — see revised date read below.

My read: 6:45 is early, but it's a fixed hour in the right room with nothing at risk. An early-doors hour at £15–20 in a full 100-seater is a far better first Manchester night than an 8:30 room we'd have to pay for. JR's own rule decides it — a full 120 beats a half-empty 250.
⭐ The 20% allocation is the real decision here — the only part that needs a call rather than a yes. Taking it means ~20 tickets sold through Sean's site and socials, so we keep those buyer details instead of Skiddle keeping all 100. That's the first live test of the ticket hub, and the start of a UK list we'll want when Canada goes on sale. Recommendation: take it.
🛑 HALTED BY JR, 6 Aug: "we are halting trinity iow. going to push for gosport instead."
